Terms of sale

Terms for buying software licences on www.prompt-software.si.

Last updated: 29 October 2026

The German version of these terms is the legally binding one. This translation is a reading aid.

1. Scope and seller

These terms apply to every purchase of software licences through Prompt Software (https://www.prompt-software.si). The seller and your contracting party is dionics media UG (haftungsbeschränkt), Birkhuhnweg 8, 31303 Burgdorf, Germany, Amtsgericht Hildesheim HRB 205032, VAT ID [NEED: USt-IdNr.]. Contact: websites@dionics.ai, +49 175 9648764.

They apply to consumers and to businesses. A buyer's own terms apply only if we agree to them in writing.

2. What you buy

We sell licences for software (Mac apps and audio plug-ins). Each licence covers one product, has no time limit, and may be active on up to two computers at once. Updates within the major version you bought (for example 1.x) are free. A bundle contains one licence for each product it lists.

The software itself is a free download. Without a licence it runs as a demo with limits: apps cannot save or export, and plug-ins drop out briefly about once a minute. The demo never expires.

The licence agreement (EULA) at https://www.prompt-software.si/en/eula sets out the rights of use in detail. Requirements and features are on each product page. Please try the demo before you buy to check that the software runs on your system.

3. How the contract is made

Products shown on the website are not a binding offer. You put products in the cart and go to the checkout run by our payment provider Stripe, where you enter your billing details, can review and correct everything, and agree to these terms and the licence agreement. Clicking the pay button makes a binding offer.

The contract is made once the payment is confirmed and we show you the licence keys or email them to you, whichever happens first.

The contract languages are German and English. We do not store the contract text separately for you. The order confirmation email lists the products and the price and links these terms, the licence agreement and the withdrawal policy.

4. Prices and payment

All prices are final prices in euros including VAT. Stripe Tax calculates VAT from the country of your billing address. Businesses with a valid VAT ID from another EU member state can enter it at checkout; the reverse-charge procedure then applies and the price changes accordingly.

Payment is processed by Stripe Payments Europe, Ltd. The checkout shows which payment methods are available. The price is due when the contract is made. You receive an invoice by email and as a link in the order confirmation.

5. Delivery

We deliver right after payment: the licence keys appear on the confirmation page and are emailed to the address you entered. There are no shipping costs. If you lose a key, we send it again from https://www.prompt-software.si/en/license.

6. Right of withdrawal

Consumers have a right of withdrawal as set out in the withdrawal policy at https://www.prompt-software.si/en/withdrawal. Because we deliver the licence keys immediately, the right ends when delivery begins, provided you expressly agreed at checkout that we deliver before the withdrawal period ends and confirmed that you lose your right of withdrawal as a result.

7. Defects and updates

Consumers have the statutory rights for defects in digital products (sections 327 ff. of the German Civil Code), including our duty to provide the updates needed to keep the software in conformity with the contract.

For business customers, the German version of these terms applies.

8. Liability

We are liable without limit for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and to the extent of any guarantee we gave.

For slightly negligent breach of an essential contractual duty, meaning a duty that makes the contract possible in the first place and on which you may regularly rely, our liability is limited to the typical, foreseeable damage. Liability for slight negligence is otherwise excluded.

For loss of data we are liable only to the extent that regular backups appropriate to the risk would not have prevented it.

9. Chargebacks and refunds

If the price is refunded in full or reclaimed through a chargeback, we revoke the licences from that order. The software then runs as a demo again.

10. Dispute resolution

We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration body.

11. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers this choice of law applies only insofar as it does not take away the protection of mandatory rules of the country where they live.

If one provision of these terms is invalid, the rest of the contract remains valid.
